The "FedEx^® $5,000 Daily Delivery" Sweepstakes

The "FedEx $5,000 Daily Delivery" Sweepstakes (the "Sweepstakes") is being conducted by Federal Express Canada Ltd. ("FedEx") and consists of thirty (30) daily "FedEx $5,000 Daily Delivery" random draws (collectively, the "Random Draws and individually, the “Random Draw”) and one (1) random draw for the Grand Prize as defined below (the "Grand Prize Random Draw").

1. HOW TO PARTICIPATE:

To be eligible for the Random Draws and the Grand Prize Random Draw, you must have or receive a valid nine digit FedEx account number (the "Account Number") and personally complete and submit the online enrollment form (thereby becoming an "Eligible Entrant") at "fedex.ca/dailydelivery" (the "Site"). You may enter the Sweepstakes, in accordance with these Official Rules, between October 12, 2010 (12:01 a.m. EDT) and November 22, 2010 (11:59 p.m. EDT) (the "Sweepstakes Period"). You may register for the Sweepstakes beginning October 12, 2010.

If you have qualified as an Eligible Entrant, every time you send a Qualifying Shipment (as defined below) during the Sweepstakes Period, you will be required to enter your valid tracking numbers online at the Site. You will be credited with one (1) entry into the Random Draw occurring the following business day for every valid tracking number you enter online at the Site. In addition, you will also be able to earn Bonus Entries for the Random Draws when you ship using multiple FedEx Services as further described below. You will also be credited with one (1) entry into the Grand Prize Random Draw for every valid tracking number you enter online at the Site.

For the purposes of the Random Draws, a "Qualifying Shipment" means a, FedEx First Overnight^®, FedEx Priority Overnight^®, FedEx 2Day^®, FedEx 1Day^® Freight, FedEx Ground^®, FedEx International First^®, FedEx International Priority™, FedEx^® International Priority Freight, FedEx^® International Economy, FedEx^® International Economy Freight, FedEx International Ground™, FedEx International Priority DirectDistribution^®, FedEx^® International Express Freight, FedEx International Premium™, FedEx International Priority DirectDistribution^® Freight or FedEx^® International DirectDistribution Surface Solutions shipment originating from Canada during the Sweepstakes Period by way of a revenue-generating FedEx tracking number with the transportation charges paid for by a FedEx Canada account number associated with a Canadian address. For the purposes of the Grand Prize Random Draw, a “Qualifying Shipment” means a FedEx 2Day^®, FedEx Ground^®, FedEx^® International Economy, FedEx^® International Economy Freight, or FedEx International Ground™ shipment originating from Canada during the Sweepstakes Period by way of a revenue-generating FedEx tracking number with the transportation charges paid for by a FedEx Canada account number associated with a Canadian address.

In order for a shipment to be a Qualifying Shipment, it must have been scanned by FedEx within 48 hours of having been entered online at the Site. In addition, for FedEx Express Shipments, your FedEx Canada account number must be entered in the "Sender's FedEx Account Number" field on the air waybill and your name or company name must be entered in the "Sender's Name" field on the air waybill, and both must match the information in your online enrolment form.

2. RANDOM DRAWS AND GRAND PRIZE RANDOM DRAW:

One Random Draw will be made daily by Axis Database Marketing Group Inc., the independent judging organization ("Axis"), on each business day from October 13, 2010 up to and including November 23, 2010 in Toronto, Ontario at approximately 2:00 p.m. EST from among all Eligible Entries received on or before midnight EST the previous business day or, in the case of Random Draws occurring on a Monday, Eligible Entries received the previous Friday, Saturday and Sunday. The Grand Prize Random Draw will be made by Axis Database Marketing Group Inc., the independent judging organization ("Axis"), on December 6, 2010 in Toronto, Ontario at approximately 2:00 p.m. EST from among all Eligible Entries received on or before midnight EST on November 22, 2010. The selected entrant (the "Selected Entrant") will be the individual whose name or company name appears in the "Sender's Name" field of the account number selected or the individual whose name is printed on a no-purchase entry, as the case may be. To win, a Selected Entrant must first correctly answer, without assistance of any kind, whether mechanical or otherwise, a time-limited, mathematical, skill-testing question to be administered by telephone at a pre-arranged, mutually convenient time. A Selected Entrant who does not answer the skill-testing question correctly or within the required time period will forfeit his/her eligibility to win the Prize. A Selected Entrant who correctly answers the skill-testing question within the required time period will be awarded his/her Prize after the eligibility of the Selected Entrant, the Selected Entrant's account number, the FedEx tracking number, and other information (see eligibility rules below) have been verified by FedEx. The odds of being selected to win a Random Draw Prize will depend on the total number of Eligible Entries and Bonus Entries received on the business day prior to the Random Draw or, in the case of Random Draws occurring on a Monday, on the previous Friday, Saturday and Sunday. The odds of being selected to win the Grand Prize will depend on the total number of Eligible Entries received during the Sweepstakes Period. In all cases, the Selected Entrant will be notified by email, phone or by mail. If the Selected Entrant cannot be contacted and the skill-testing question administered within fourteen (14) days, an alternate winner may be selected (who will be contacted, and will be subject to disqualification, in the same manner).

3. RANDOM DRAW AND GRAND PRIZES:

There will be thirty (30) Random Draw prizes (the “Random Draw Prizes”) available to be won by way of the Random Draws consisting of five thousand dollars cash ($5,000 CDN) each (individually the "Random Draw Prize" and collectively the "Random Draw Prizes").

There will be one (1) Grand Prize available to be won by way of a random draw consisting of a trip for four (4) to the 2011 IIHF World Junior Hockey Championship gold medal game in Buffalo, New York on January 5, 2011 (round trip economy airfare from the international Canadian airport nearest the winner's residence; airport transfers; 2 nights, 4 star accommodations — double occupancy) plus $500 CDN spending money. Approximate value of $13,860 CDN (the “Grand Prize”).

4. REGULAR ENTRIES & BONUS ENTRIES:

Random Draw Prizes
For every Random Draw Qualifying Shipment you enter on the Site you will be credited with one (1) entry into the Random Draw occurring the following business day. For greater certainty, all Eligible Entries received on a Saturday or Sunday will be included in the following business day's Random Draw. In the event that a Random Draw is scheduled to occur on a Holiday (as such is defined on fedex.ca), such Random Draw will occur on the following business day, in addition to any other Random Draw scheduled on that day. In addition, you will be credited with bonus entries (the "Bonus Entries") if you enter more than one valid tracking number from different FedEx services included in the definition of Qualifying Shipments. The number of Bonus Entries you receive will be determined by multiplying the number of Eligible Entries you have by the number of different types of FedEx services you entered to receive your Eligible Entries. For instance:

• If you ship using one FedEx product, your daily entries for that specific Random Draw will be x 1
• If you ship using two FedEx products your daily entries for that specific Random Draw will be x 2
• If you ship using three FedEx products, your daily entries for that specific Random Draw will be x 3
• etc.

There is a limit of one (1) Random Draw Prize per person during the Sweepstakes Period.

Grand Prize
For every Grand Prize Qualifying Shipment you enter on the Site you will be credited with one (1) entry into the Grand Prize Random Draw.

5. NO PURCHASE ENTRY:

An Eligible Entrant will receive an entry into an applicable Random Draw and the Grand Prize Random Draw without making a Qualifying Shipment or without making a purchase (a "No-Purchase Entry") by: (i) hand-printing your FedEx account number, your name, the name of your company, your complete address, including postal code, your telephone number, your e-mail address, and the words "FedEx $5,000 Daily Delivery Sweepstakes" on a plain piece of paper; (ii) hand-drawing (not mechanically reproducing) a facsimile of the FedEx logo on such paper; and (iii) mailing each complete entry to "FedEx $5,000 Daily Delivery Sweepstakes” at PO Box 650 STN A, Etobicoke, ON M9C 5M9. If you agree with the following statement, please also hand-print the following statement on the entry: "I wish to receive further information and special offers by e-mail from FedEx". FedEx will not be responsible for any No-Purchase Entry that is illegible, lost, delayed or misdirected. To become eligible to win a Prize in one of the Random Draws or in the Grand Prize Random Draw, each such No-Purchase Entry must be mailed separately bearing sufficient postage, and must be received by FedEx during the Sweepstakes Period. Upon receipt of the No-Purchase Entry you will be entered into the Random Draw occurring on the following day and the Grand Prize Random Draw. Only original No-Purchase Entries will be accepted — no photocopies or reproductions.

6. IF YOU DO NOT HAVE A FEDEX ACCOUNT NUMBER:

If you do not have a FedEx account number, call 1.800.Go.FedEx 1.800.463.3339 and request one from a FedEx Customer Service Representative or visit our website at fedex.ca and complete the online form. Then follow the procedure set out in Section 1 (How to Participate) above. See the FedEx Service Guide for restrictions and details on setting up accounts, which is available at www.fedex.ca.

CONDITIONAL WINNERS:

Conditional Winners will receive confirmation by phone within twenty-four (24) hours of being declared a Conditional Winner. Each Conditional Winner will be notified by phone by no later than the end of December 2010 when his/her eligibility to win the Prize has been verified and is ready for delivery. Confirmed winners will receive their prize within five weeks of such notification. If a Conditional Winner cannot be so contacted within fourteen (14) days of being notified that his/her eligibility to win the Prize has been verified, the Conditional Winner will forfeit his/her eligibility to win the Prize. If there are any Prizes remaining after the verification and delivery stage of the Sweepstakes a random draw may be made, at the discretion of FedEx, by Axis on or about January 15, 2011 in Toronto, Ontario at approximately 10:00 a.m. EDT, from among all individuals who registered for the Sweepstakes and played the Sweepstakes at least once. In order to be awarded any such prize, the selected entrant(s) (a "Supplemental Conditional Winner") must first correctly answer, without assistance of any kind, whether mechanical or otherwise, a time-limited, mathematical, skill-testing question to be administered by telephone at a pre-arranged, mutually convenient time. The odds of being selected will depend on the total number of people who registered for the Sweepstakes and played the Sweepstakes at least once. A Supplemental Conditional Winner will be notified by phone, e-mail or by mail. If a Supplemental Conditional Winner cannot be contacted and the skill-testing question administered and answered correctly within such fourteen (14) days, an alternate entrant may be selected (who will be contacted, and be obliged to correctly answer a skill-testing question subject to disqualification in the same manner).

7. GENERAL RULES:

7.1 COMPANY POLICY:

If a winner's company policy precludes him/her from receiving a prize, the prize will be forfeited and FedEx will select another winner. If FedEx is notified by any company that its employees are precluded from participating in the Sweepstakes by reason of company policy, such employees will be ineligible to participate in the Sweepstakes. By participating and/or winning any prizes, you agree that FedEx may disclose your participation in the Sweepstakes and the nature of any prizes you may win to the company whose account number is indicated on your enrolment/registration form.

7.2 ELIGIBILITY:

By participating in the Sweepstakes, you agree to be bound by the provisions set out in these Official Rules and you warrant that you meet the eligibility requirements set out herein. To enter and be eligible to win, a person must be a resident of Canada who has reached the age of majority in his/her province or territory of residence and may not be a FedEx Authorized ShipCenter^®, an employee of FedEx, its affiliates, agents or advertising and promotional agencies or Axis, or a member of the immediate family or household of any such employee. For the purposes of these Official Rules, "immediate family" means the employee's parents, siblings, husband or wife, and children. All Prize winners, travel prize winners and his/her companions, or, in the case of a minor, his/her parent or guardian, will be required to sign FedEx's form of affidavit of eligibility, sign FedEx's form of consent, release and indemnity, which would include consent to the use of his/her name, city and photograph without further compensation in any publicity concerning the Sweepstakes, have his/her travel companion sign such a consent, release and indemnity and have an authorized individual at the winner's company sign FedEx's form of consent acknowledging that the company policy does not prevent the winner from accepting the prize as awarded. The Prize Winners will be required to return such documents within fourteen (14) days of receipt, or their eligibility to win the prize will be forfeited and an alternate entrant may be selected. All Prize Winners must have correctly answered the skill testing question without assistance of any kind, whether mechanical or otherwise, and be in compliance with these Official Rules. Further, in order for any winner to be entitled to claim any Prize: (i) the winner must be, at the time a Prize is awarded, employed by the company, if any, indicated on the winner's enrolment/registration form; and (ii) the associated FedEx account number (if applicable) and e-mail address must be valid and must not be delinquent.

7.3 MISCELLANEOUS:

All entries become the property of FedEx and none will be returned. By participating in the Sweepstakes, entrants agree to abide by these Official Rules and the decisions of Axis, which are final. No communication will be entered into except with a Conditional Winner.

No responsibility will be taken for an entry, prize winning notification, or a claim for a prize which is lost, misdirected or delayed for any reason.

A winner of a prize, and the guest(s) of a winner of any travel prize, assume responsibility for any and all damages, losses or injuries of any kind that may arise in connection with the acceptance, use or misuse of a prize and, in the case of a travel prize winner and his/her guests, when travelling as part of the travel prize. All prizes must be accepted as awarded, are non-refundable and are not convertible to cash. Subject to the paragraph above entitled "Company Policy", prizes are nontransferable and no substitution is allowed, except by FedEx who reserves the right to substitute a prize of equal or greater value if a prize described above is unavailable for any reason. FedEx does not endorse any product offered as a prize and is not responsible for the availability or performance of such products. A winner of a prize, and the travel guest(s) of a travel prize winner, may not initiate any claim or demand against FedEx, its affiliates, agents or advertising and promotional agencies arising from the use of a prize. FEDEX EXPRESSLY DISCLAIMS ALL REPRESENTATIONS, WARRANTIES AND CONDITIONS, EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, ANY IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE, REGARDING THE PRODUCTS OR SERVICES AWARDED AS PRIZES. FedEx, its affiliates, agents and advertising and promotional agencies assume no responsibility or liability for damages, losses or injury resulting from the acceptance, use or misuse of a prize. Any federal, provincial or other taxes on a Prize are the responsibility of the winner.

Without limitation FedEx will not be liable for any failure of the Site during the Sweepstakes; for any technical malfunction or other problem relating to the telephone network or lines, computer on-line systems, servers, access providers, computer equipment or software; for the failure of any entry to be received by FedEx for any reason including, but not limited to, technical problems or traffic congestion on the Internet or at any website; or for any combination of the above. FedEx will also not be liable for any injury or damage to a contestant's/entrant's or any other person's computer related to or resulting from participating or downloading any material in the Sweepstakes.

FedEx reserves the right to withdraw or amend the Sweepstakes in any way and for any reason, subject in the case of entrants who reside in Quebec to obtaining approval from the Régie des alcools, des courses et des jeux for the province of Québec, including, but not limited to an event of an error, technical problem, computer virus, bug, tampering, unauthorized intervention, fraud, technical failure or any other cause of any kind beyond the reasonable control of FedEx. Any attempt to deliberately damage any website or to undermine the legitimate operation of the Sweepstakes is a violation of criminal and civil laws, and, should such an attempt be made, FedEx reserves the right to seek remedies and damages to the fullest extent permitted by law, including criminal prosecution. The Sweepstakes is subject to all applicable federal, provincial and municipal laws.

7.4 QUEBEC RESIDENTS:

Any litigation respecting the conduct or organization of a publicity contest may be submitted to the Régie des alcools, des courses et des jeux for a ruling. Any litigation respecting the awarding of the prize may be submitted to the Régie only for the purpose of helping parties reach a settlement.
